The following Terms of Use shall apply to any party who accesses articles.com.sg (the “Website”) or uses the services provided therein or otherwise facilitates such use by others. 

These terms of use (the “Terms of Use”) set forth below apply to your access and use of the Website, including our various websites, APIs, email notifications, applications buttons and widgets, and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on the Services (collectively referred to as the “Content”). 

1. Acceptance of Use

1. Immigration Central SG Pte. Ltd. (collectively referred to herein as “TR”, “We”, “Our”, or “Us”) owns and operates the Website and relevant sub-domains.
2. Your use of the Website is subject to these Terms of Use.
3. By using and accessing the Website, you are deemed to have and or signify your acceptance of these Terms of Use as well as our Privacy Policy and agree to be bound by them and any/ all other applicable terms referenced hereinafter.
4. We may amend and vary these Terms of Service from time to time by amending this page. The amendments will be effective from the date they are posted on this Website. You should check this page whenever you visit this Website. Your continued use of this Website will constitute your acceptance of the amendments.
5. Your continued use of the Website and/or your registered account on the Website following changes to these Terms of Use will constitute your acceptance of those changes.
6. If you are dissatisfied with the Website and/or these Terms of Use, you agree that your sole and exclusive remedy is to discontinue using the Website.

2. Ability to Accept Terms of Use

1. You affirm that you are either more than 18 years of age or possess legal parental or guardian consent and are fully able and competent to enter the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.

3. Access to Website

1. We will use reasonable efforts to ensure that the Website is available at all times. However, we cannot guarantee that the Website or any individual function or feature of the Website will always be available and/or error-free. 
2. The Website may be unavailable during periods when we are implementing upgrades or carrying out our essential maintenance on the Website. 
3. We reserve the right, in our sole discretion, to terminate your account or restrict or suspend your use of the Website at any time. You are personally liable for any obligations, orders, listings, or contracts that you have agreed to fulfil prior to termination. We further reserve the right to change, suspend or discontinue all or any aspects of the Website at any time without prior notice.
4. The Website that we provide is always evolving and the form and nature of the Website that we provide may change from time to time without prior notice to you. In addition, we may stop (permanently or temporarily) providing you access to the Website (or any features within the Website) without any prior notice. 
5. We also retain the right to create limits on Website usage and storage at our sole discretion at any time and without prior notice to you.

4. Website Account Registration

1. You may only create, register, and hold one (1) account on the Website that you are solely responsible for managing. 
2. You are recommended to avoid creating multiple accounts using different email addresses or mobile telephone numbers where you are the beneficiary of those accounts.
3. You must follow the instructions and provide the required information as part of the registration process for a user account.
4. You warrant and represent that the information you provide during the registration process (and any notification of change of such information) is true and correct.
5. You are required to notify us immediately of any changes to your registration information. 
6. Your account is non-transferrable and may not be sold. 
7. If you violate any of these terms, we may terminate your account without limitation.
8. If we terminate your account, you may not re-enrol or join under a new account unless we formally approve this (including re-enrolling or joining with a different email address, different mobile telephone number or under a different name).
9. If you commit fraud or falsify information in connection with your use of the Website account, your account will be terminated immediately and we reserve the right to hold you liable for any and all damages that we suffer, to pursue any action which is available to us (including the use of any available legal remedies) and to notify your Internet Service Provider of any fraudulent activity we associate with you or your use of the Website.
10. We reserve the right to reject any registration and to refuse service to anyone for any reason in our sole and absolute discretion.
11. You agree to indemnify Us and or our subsidiaries for all claims brought by a third party against Us and or our subsidiaries arising out of or in connection with your registered account and your use of the Website.

5. Access to Websites outside of Singapore

1. We make no promise that the materials on the Website are appropriate or available for use in locations outside Singapore when you access the Website from territories where the Contents in the Website are considered to be illegal or unlawful and prohibited. 
2. If you choose to access the Website outside of Singapore, you do so on your own initiative and are responsible for compliance with local laws.

6. Use of Website

1. Your permission to use the Website is non-transferable. 
2. Your use of the Website is conditional on your compliance with the rules of conduct set forth in these Terms of Use, and you agree that you will not:
   1. Use the Website for any fraudulent or unlawful purpose;
   2. Use the Website to defame, abuse, harass, stalk, threaten or otherwise violate the rights of others, including without limitation others’ privacy rights or rights of publicity;
   3. Impersonate any person or entity, false state or otherwise misrepresent your affiliation with any person or entity in connection with the Website or express or imply that we endorse any statement you make;
   4. Interfere with or disrupt the operation of the Website or the servers or networks used to make the Website available or violate any requirements, procedures, policies or regulations of such networks;
   5. Transmit or otherwise make available in connection with the Website any virus, worm or other computer code that is harmful or invasive or may or is intended to damage the operation of, or to monitor the use of, any hardware, software, or equipment;
   6. Reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes, any portion of, use of, or access to the Website;
   7. Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Website. If you wish to reverse engineer any part of the Website to create an interoperable program, you must contact Us, and we may provide interface data subject to verification of your identity and other information;
   8. Remove any copyright, trademark or other proprietary rights notice from the Website or materials originating from the Website;
   9. Frame or mirror any part of the Website without our express prior written consent;
   10. Create a database by systematically downloading and storing Website Content;
   11. Use any manual or automatic device in any way to gather Website Content or reproduce or circumvent the navigational structure or presentation of the Website without our express prior written consent. Notwithstanding the foregoing, we grant the operators of public online search engines revocable and limited permission to use search retrieval applications to reproduce materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of such materials solely in connection with each operator’s public online search service;
   12. We reserve the right to revoke these exceptions at any time, under our sole discretion.
3. We will report any such breach to the relevant law enforcement authorities, and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.
4. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to
   1. satisfy any applicable law, regulation, legal process or governmental request; 
   2. enforce the Terms of Use, including investigation of potential violations hereof;
   3. detect, prevent, or otherwise address fraud, security or technical issues; 
   4. respond to user support requests or 
   5. protect the rights, property or safety of the Website, its users and the public.
   6. You are responsible for configuring your information technology, computer programs and systems in order to access our Website.

7. Third-Party Websites and Resources

1. The Website may provide links to third-party websites and online resources (collectively referred to as the “Web-Links”). 
2. You acknowledge and agree that the Website has no responsibility for the accuracy and or availability of any information provided by Web-Links.
3. You further acknowledge and agree that the Website does not endorse such Web-Link and your use and access to Web-Links shall be at your own risk.
4. You may create a Web-Links to the Website, provided that the Web-Links are considered to be fair and legal and is not presented in a way that is misleading or could suggest any type of association, approval or endorsement by the Website or express to create harm to the Website’s reputation or the reputation of any of our affiliates.
5. We reserve the right to require you to immediately remove any Web-Links to the Website at any time, and you shall immediately comply with any request by us to remove any such link.

8. Account and Password

1. You are responsible for safeguarding the password that you use to access the Website and for any activities or actions under your password.
2. We encourage you to use “strong” passwords (passwords that use a combination of upper- and lower-case letters, numbers and symbols) with your account. 
3. You must treat any such information of your password as confidential and must not disclose it to any third party. 
4. The Website shall and will not be liable for any loss or damage arising from your failure to comply with the above.
5. The Website will have the right to disable any password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.
6. If you know or suspect that anyone other than you knows your password, you must promptly notify us at support@articles.com.sg

9. Intellectual Property and or Other Rights

1. The Content included in or made available on the Website, including but not limited to all of the text, pictures, videos, graphics, user interfaces, visual interfaces, trademarks, logos, applications, programs, computer code and other Content made available on it are owned by us, our partners and our licensors. The compilation of all Content included in or made available through the Website is the exclusive property of Immigration Central SG Pte Ltd. 
2. You may not print or otherwise make copies of any such Content without our express prior written consent. You may not use any data mining, data gathering and data extraction tools or robots to extract (whether once or many times) for re-use of any parts of the Content of the Website, without our express prior written consent. 
3. You may also not create and/or publish your own database that features any portion of the data and/or Content included in or made available on the Website (which include but are not limited to our buyer listings and descriptions) without our express written consent.
4. You agree that we are free to use, disclose, adopt, and modify all and any ideas, concepts, knowhow, proposals, suggestions, comments and other communications and information provided by you to us (the “Feedback”) in connection with the Website and/or your usage and access to the Website without any payment to you.
5. You hereby waive and agree to waive all and any rights and claims for any consideration, fees, royalties, charges and/or other payments in relation to our use, disclosure, adoption and/or modification of any or all your Feedback.

10. Limitation of Liability

1. We provide the Website on an “as is”, “as available” basis and make no representations as to the quality, completeness or accuracy of any Content made available on the Website.
2. Your access to the Website and usage of our Website is at your sole risk, and you will exercise and rely solely on your own skill and judgment in the interpretation of the information obtained from the Website. You are also responsible for ensuring that your use of the information from the Website complies with all applicable legal requirements.
3. To the maximum extent permitted by law, we expressly exclude:
   1. All conditions, warranties and other terms that might otherwise be implied by law in these Terms of Use and
   2. All liability to you, whether arising under these Terms of Use or otherwise, in connection with your use of the Website.

The foregoing is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. Notwithstanding the foregoing, nothing in these Terms of Use is intended to exclude or limit any liability that may not by law be excluded or limited, and in particular, none of the exclusions and limitations in this clause is intended to limit any rights you may have as a Website User under Singapore law or statutory rights which may not be excluded, nor in any way to exclude or limit liability to you for death or personal injury resulting from our negligence or that of our employees or agents.
5. Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result, the Contents of this section may not apply to you.
6. We will not guarantee or assume any responsibility that:
   1. the information presented on our Website is accurate, adequate, current or reliable, or may be used for any purpose other than for general reference;
   2. the information presented on our Website is free of defect, error, omission, virus or anything which may change, erase, add to or damage your software, data or equipment;
   3. messages sent through the internet, including in connection with the services, will be free from interception, corruption, error, delay or loss;
   4. access to the Website will be available or uninterrupted;
   5. use of the Website will achieve any particular result; 
   6. or defects in the Website will be corrected.
   7. Without prejudice to the foregoing, if your use of the Website does not proceed satisfactorily and/or where applicable, you do not receive appropriate responses to such use from us, as set out in these Terms of Use or otherwise, you are advised to contact us at support@immigrationcentralsg.com.sg. No such lack of response shall be deemed to constitute any acquiescence or waiver.

11. Collection of Information

1. We may collect and use information about you in accordance with our privacy policy. You can view a copy of this policy by clicking on the Privacy Policy link at the footer of the Website.

12. Duration of Terms

1. These Terms of Use are effective until terminated by either you or Us. 
2. We may, at any time and for any reason, terminate your access to or use of the Website without notice.
3. You may at any time, for any reason, deactivate your accounts and discontinue your use and access to the Website. You are required to specifically inform us when you stop using the Website.
4. We may suspend or terminate your accounts or cease providing you access to the Website at any time for any reason, including, but not limited to if we reasonably believe: (i) you have violated these Terms of Use or (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Website to you is no longer commercially viable. In all such cases, any provision of these Terms of Use that expressly or by implication is intended to come into or continue in force on or after termination of this Term of Use shall remain in full force and effect.
5. If we terminate your access to the Website you will not have the right to bring claims against us or our affiliates with respect to such termination. We and our affiliates shall not be liable for any termination of your access to the Website.
6. Nothing in this section shall affect our rights to change, limit or stop the provision and access to the Website without prior notice.

13. Severance

1. The illegality, invalidity, or unenforceability of any provision of these Terms of Use under the law of any jurisdiction shall not affect its legality, validity or enforceability under the laws of any other jurisdiction nor the legality, validity or enforceability of any other provision.

14. Several Users

1. If there are two or more persons adhering to these Terms of Use as a user, their liability under the Terms of Use is joint and several and their rights are joint.

15. Waiver

1. No failure or delay by a party to exercise any right or remedy provided under this Terms of Use or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

16. Governing Law and Jurisdiction

1. These Terms of Use will be governed by and construed in accordance with the laws of Singapore, and the courts of Singapore will have non-exclusive jurisdiction over any claim or dispute arising under or in connection with these Terms of Use.
2. This term of use is drafted in English language. If this agreement is translated into any other language, the English language version shall prevail.

By accessing the Website, you understand, acknowledge, and agree that you will abide by the Terms of Use. If you do not agree to the Terms of Use, immediately stop accessing the Website and do not use and or engage in any offerings through the Website.
